Terms & Conditions
1. Agreement to Terms
By accessing our website or engaging Atlaz for any services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, please do not use our website or services.
These Terms apply to all visitors, clients, and other parties who access or use our services.
2. Services
Atlaz provides website design, development, branding, and related digital services. The specific scope, timeline, deliverables, and pricing for each project will be outlined in a separate Project Proposal and/or Service Agreement signed by both parties. These Terms and Conditions apply alongside and form part of any such agreement.
We reserve the right to refuse service to any party at our sole discretion.
3. Project Process and Client Responsibilities
Client Responsibilities To ensure timely and successful project delivery, clients agree to:
Provide all required content, assets, and information in a timely manner
Designate a primary point of contact with authority to approve decisions
Provide feedback and approvals within agreed timeframes
Ensure all materials provided to us do not infringe on third-party intellectual property rights
Delays If a project is delayed due to the client's failure to provide required materials, feedback, or approvals, Atlaz reserves the right to adjust the project timeline and, where applicable, charge additional fees for re-scheduling or re-engagement.
4. Fees and Payment
Pricing All fees will be specified in the Project Proposal or Service Agreement. Prices are exclusive of applicable taxes unless otherwise stated.
Payment Schedule Unless otherwise agreed in writing, payment is structured as follows:
50% deposit required before work commences
Remaining 50% due upon project completion, prior to final file delivery or website launch
Late Payments Invoices are due within 14 days of the invoice date. Late payments may incur an interest charge of 1.5% per month on the outstanding balance.
Suspension of Work Atlaz reserves the right to suspend work on any project where payment is overdue until the outstanding balance is settled.
5. Revisions and Change Requests
Each project includes a defined number of revision rounds as outlined in the Project Proposal. Revisions are defined as minor adjustments within the agreed project scope.
Requests that fall outside the original scope, or that exceed the included revision rounds, will be treated as change requests and may be subject to additional charges. Atlaz will provide a cost estimate for any such changes before proceeding.
6. Intellectual Property
Client-Provided Materials The client retains ownership of all content, logos, images, and other materials they provide to Atlaz. The client warrants that they have the legal right to use and provide all such materials.
Deliverables Upon receipt of full payment, Atlaz transfers ownership of the final agreed deliverables to the client. This includes custom design files and website code as specified in the Project Proposal.
Pre-existing Materials and Tools Atlaz retains ownership of all pre-existing tools, frameworks, processes, templates, and intellectual property used in the creation of deliverables. A non-exclusive license to use such elements as part of the delivered project is granted to the client.
Portfolio Rights Unless the client requests otherwise in writing, Atlaz reserves the right to display the completed project in its portfolio, case studies, social media, and marketing materials.
7. Confidentiality
Both parties agree to keep confidential any sensitive business information, trade secrets, or proprietary data shared during the course of the project. This obligation survives the termination of any service agreement.
8. Warranties and Representations
Atlaz warrants that:
Services will be performed with reasonable skill and care
Deliverables will materially conform to the agreed specifications
Atlaz does not warrant that:
The website or deliverables will be free of all errors or defects after client modifications
The website will achieve specific search engine rankings or business outcomes
Third-party platforms, plugins, or integrations will remain functional or available indefinitely
9. Limitation of Liability
To the fullest extent permitted by law, Atlaz's total liability to the client for any claim arising out of or related to these Terms or any service agreement shall not exceed the total fees paid by the client for the specific project giving rise to the claim.
Atlaz shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption.
10. Termination
By the Client The client may terminate a project at any time by providing written notice. In such cases, the client shall pay for all work completed up to the date of termination, including any non-refundable costs already incurred.
By Atlaz Atlaz reserves the right to terminate a project or engagement if:
The client breaches these Terms or any service agreement
The client engages in abusive, threatening, or unlawful conduct
Payment remains outstanding beyond 30 days of the due date
Upon termination, Atlaz will deliver any work completed up to that point upon receipt of outstanding payment.
11. Third-Party Services
Atlaz may recommend or integrate third-party tools, platforms, or services (e.g., CMS platforms, hosting providers, analytics tools). We are not responsible for the performance, availability, pricing, or terms of any third-party service. The client is responsible for reviewing and accepting the terms of any third-party services used in their project.
12. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or related services shall first be attempted to be resolved through good-faith negotiation, and if unresolved, through the appropriate courts of jurisdiction.
13. Amendments
Atlaz reserves the right to update these Terms and Conditions at any time. Changes will be posted on this page with an updated effective date. Continued use of our website or services after such changes constitutes acceptance of the revised Terms.
14. Entire Agreement
These Terms, together with any signed Project Proposal or Service Agreement, constitute the entire agreement between the client and Atlaz with respect to the subject matter herein and supersede all prior discussions or agreements.
